This Host Agreement supplements the Look Who's Outdoors™ Terms and Conditions. In the event of any conflict, this Agreement prevails with respect to Host-specific matters.

Parties And Purpose
This Host Agreement ('Agreement') is entered into between Look Who's Outdoors LLC, a Texas limited liability company with registered offices at 110 N. Akard Street #1036, Dallas, TX 75201 ('LWO') and the individual or entity registering as a Host on the Look Who's Outdoors Platform ('Host'). This Agreement governs the Host's use of the Platform to create, publish, manage, and monetize outdoor event listings and ticket sales. In connection with such use, the Host will receive certain personal information about Adventurers (including names, ticket-holder details, and contact information). The Host's processing of such personal information is governed by Section 4A (Data Protection and Use of Adventurer Personal Information), which forms an integral part of this Agreement and includes the contractual restrictions required of contractors under California Civil Code § 1798.140(ag) and analogous state privacy laws.
Independent Contractor Status
The Host is an independent contractor. Nothing in this Agreement or the relationship between LWO and the Host shall be construed to create an employment, agency, partnership, joint venture, or franchise relationship. The Host:
- Has no authority to bind LWO in any contract, agreement, or obligation;
- Is solely responsible for all decisions regarding the planning, operation, marketing, and execution of their Events;
- Is solely responsible for all employment, payroll, tax, and regulatory obligations related to any personnel engaged by the Host;
- Is not entitled to any employee benefits, workers' compensation, unemployment insurance, or other employment-related protections from LWO.
The Host acknowledges that LWO operates as a technology platform only and does not itself organize, conduct, sponsor, or endorse any Event.
Host Eligibility And Verification
3.1 Eligibility Requirements
To register and remain active as a Host, you must:
- Be at least eighteen (18) years of age;
- Have the legal capacity to enter into binding contracts under the laws of your jurisdiction;
- Provide accurate, complete, and current account and identity information;
- Successfully complete LWO's identity verification process, including submission of a government-issued photo identification document and, where required, a selfie verification;
- Successfully register and maintain a valid Stripe Connect account, which is a mandatory prerequisite for publishing paid Events.
3.2 Verification Limitations
LWO's verification process is limited to confirming basic identity information and does not constitute:
- A background check, criminal record check, or sex offender registry check;
- A verification of insurance coverage, professional qualifications, certifications, or licences;
- An endorsement, warranty, or representation by LWO as to the Host's fitness, competence, or suitability to conduct any Event.
LWO expressly disclaims all liability for any harm arising from reliance on the Verified Badge designation.
Host Obligations And Responsibilities
4.1 Event Accuracy
The Host represents, warrants, and covenants that all Event listings shall be accurate, truthful, complete, and not misleading in all material respects, including without limitation:
- Event title, description, and all advertised features;
- Activity type, difficulty level, and any physical requirements;
- Location, date, time, and duration;
- Ticket pricing, capacity limits, and available ticket types;
- Any inclusions, exclusions, or restrictions applicable to attendees.
The Host shall update Event listings promptly to reflect any material changes. Material changes made after ticket sales have commenced must be promptly communicated to all ticket holders.
4.2 Legal Compliance and Permits
The Host is solely responsible for obtaining, maintaining in good standing, and complying with all permits, licences, authorizations, and approvals required for the lawful conduct of each Event, including without limitation:
- Commercial-use permits for public parks, nature reserves, or other regulated venues;
- Event permits required by local municipalities or county governments;
- Fire permits, where open flames, campfires, or cooking equipment are used;
- Water-use permits or any permits required for water-based activities;
- Any permits required by the United States Forest Service, National Park Service, Bureau of Land Management, or other federal agencies;
- Any other permit, licence, or authorization required under applicable federal, state, or local law.
LWO shall not be liable for any fines, penalties, costs, or damages arising from the Host's failure to obtain or comply with required permits. The Host agrees to indemnify LWO for all such claims.
4.3 Insurance
The Host is strongly advised to maintain, at a minimum, comprehensive general liability insurance coverage in an amount sufficient to cover the nature and scale of the Events conducted. Where professional activities are offered (e.g., guided climbing, kayaking instruction), professional liability insurance is additionally recommended. LWO does not verify insurance coverage and makes no warranty as to the adequacy of any Host's insurance. The absence of insurance does not excuse the Host from liability for harm caused to attendees.
4.4 Professional Qualifications and Certifications
Hosts are solely responsible for ensuring that they, and any personnel or contractors engaged to assist at Events, hold all certifications, qualifications, licences, and training required for the safe and lawful conduct of the activities offered. This includes, without limitation:
- Wilderness First Aid (WFA) or Wilderness First Responder (WFR) certification for remote or backcountry Events;
- Certified guide or instructor credentials for technical activities including rock climbing, rappelling, or whitewater kayaking;
- Any operator licences required for motorized activities or watercraft;
- Any food handler certifications where food is served.
LWO does not verify professional qualifications. Hosts who falsely represent qualifications to LWO or to attendees shall be subject to immediate account termination.
4.5 Attendee Safety
The Host bears primary responsibility for the safety and welfare of all attendees during Events. The Host shall:
- Conduct a pre-Event safety briefing covering all material risks and required safety procedures;
- Ensure that adequate first aid equipment and trained personnel are present for the type of activities conducted;
- Maintain appropriate participant-to-guide ratios for technical or high-risk activities;
- Maintain emergency communication capabilities, including a means of contacting emergency services, at all Events conducted in remote or wilderness locations;
- Promptly communicate with LWO at [email protected] in the event of any serious incident, injury, or emergency occurring at or in connection with an Event;
- Comply with any safety guidelines published by LWO from time to time.
4.6 Host Waivers
Hosts may require attendees to execute their own liability waivers or assumption of risk agreements in addition to LWO's platform-level Liability Waiver. Such Host waivers must not conflict with LWO's policies and must be presented to attendees prior to the commencement of the Event. The existence or absence of a Host waiver does not affect the Host's indemnification obligations to LWO under this Agreement.
4.7 Minors
Where an Event permits attendance by minors, the Host shall ensure that:
- A parent or legal guardian accompanies the minor at all times during the Event;
- A parent or legal guardian executes all required waivers on the minor's behalf prior to participation;
- The Event description clearly states any minimum age requirements.
- Any personal information regarding minors is collected only to the extent necessary for the Event and is processed in compliance with the Children's Online Privacy Protection Act (15 U.S.C. §§ 6501–6506), 16 C.F.R. Part 312, and applicable state laws including the California Privacy Rights Act, Texas SCOPE Act (Tex. Bus. & Com. Code § 509.052), Tennessee Protecting Children from Social Media Act, Florida HB 3, Maryland Age-Appropriate Design Code, and the California Age-Appropriate Design Code. The Host shall not retain personal information regarding minor attendees longer than necessary for the Event and any related dispute resolution period.
Hosts who wish to exclude minors entirely must clearly state a minimum age requirement in the Event listing.
Data Protection And Use Of Adventurer Personal Information
4A.1 Definitions
For purposes of this Section 4A: (a) 'Adventurer PI' means any personal information about an Adventurer (as defined in the LWO Privacy Policy and applicable law) that the Host receives, accesses, or processes in connection with this Agreement; (b) 'Applicable Privacy Laws' means the California Consumer Privacy Act of 2018 as amended by the California Privacy Rights Act (Cal. Civ. Code §§ 1798.100 et seq.) and its implementing regulations, the Virginia Consumer Data Protection Act, the Colorado Privacy Act, the Connecticut Data Privacy Act, the Utah Consumer Privacy Act, the Texas Data Privacy and Security Act (Tex. Bus. & Com. Code Ch. 541), the Oregon Consumer Privacy Act, the Montana Consumer Data Privacy Act, the Florida Digital Bill of Rights, and any other comparable U.S. state privacy law applicable to the Host's processing of Adventurer PI; (c) terms not otherwise defined have the meanings ascribed to them in the Applicable Privacy Laws.
4A.2 LWO Disclosure as Service-Provider/Contractor Disclosure
LWO discloses Adventurer PI to the Host solely as a 'service provider' or 'contractor' (as those terms are defined in California Civil Code § 1798.140(ag) and (ai)) or analogous role under each Applicable Privacy Law. Each disclosure of Adventurer PI by LWO to the Host is made for the limited and specified business purpose of enabling the Host to fulfill its obligations under this Agreement and to manage the Event for which the relevant Adventurer has booked a Ticket (the 'Permitted Purpose').
4A.3 Restrictions on Host's Use of Adventurer PI
The Host shall not, and shall not permit any subcontractor or agent to: (a) Sell or share Adventurer PI for monetary or other valuable consideration, or for cross-context behavioral advertising or targeted advertising, as those terms are defined under any Applicable Privacy Law; (b) Retain, use, or disclose Adventurer PI for any purpose other than the Permitted Purpose, including for any commercial purpose other than the Permitted Purpose, or outside the direct business relationship between the Host and LWO; (c) Combine Adventurer PI with personal information that the Host receives from any other source, except as expressly permitted by Cal. Civ. Code § 1798.140(ag)(1)(D) or analogous provisions of other Applicable Privacy Laws; (d) Use Adventurer PI to market the Host's own goods or services to Adventurers without the Adventurer's separate, opt-in consent obtained directly by the Host (and the Host shall be solely responsible for documenting such consent and for compliance with the CAN-SPAM Act and Telephone Consumer Protection Act); (e) Disclose Adventurer PI to any third party except: (i) LWO; (ii) the Adventurer; (iii) a subcontractor that the Host has bound by a written agreement containing the same restrictions set forth in this Section 4A; or (iv) as required by law (in which case the Host shall promptly notify LWO unless prohibited by law); or (f) Process Adventurer PI in any manner that would cause LWO to be in violation of any Applicable Privacy Law or the LWO Privacy Policy.
4A.4 Affirmative Obligations
The Host shall: (a) Comply with all Applicable Privacy Laws in its processing of Adventurer PI; (b) Implement and maintain appropriate administrative, technical, and physical safeguards to protect Adventurer PI from unauthorized access, use, disclosure, alteration, and destruction, in accordance with industry-standard practices; (c) Notify LWO at [email protected] without undue delay (and in any event within seventy-two (72) hours) of becoming aware of any actual or reasonably suspected unauthorized access to or disclosure of Adventurer PI ('Security Incident'), and cooperate fully with LWO in the investigation and any required notification; (d) On LWO's reasonable request, take steps to assist LWO in: (i) responding to consumer requests under Applicable Privacy Laws (including requests for access, deletion, correction, portability, opt-out, and limitation of use of sensitive personal information); (ii) conducting data protection impact assessments; (iii) demonstrating compliance with Applicable Privacy Laws; and (iv) responding to inquiries by data protection authorities; (e) Upon termination of this Agreement, the conclusion of the Permitted Purpose, or LWO's request, return or securely destroy all Adventurer PI in the Host's possession, except to the extent retention is required by Applicable Law; and (f) Permit LWO, upon reasonable advance notice, to take reasonable and appropriate steps to ensure that the Host is using Adventurer PI in a manner consistent with this Section 4A and Applicable Privacy Laws.
4A.5 Host's Certification
The Host hereby certifies that it understands the restrictions in this Section 4A and the requirements of Applicable Privacy Laws and will comply with them. This certification is made for purposes of California Civil Code § 1798.140(ag)(1)(F) and analogous provisions of other Applicable Privacy Laws.
4A.6 EU/EEA/UK Data
The Host acknowledges that LWO does not target or knowingly accept Adventurers from the European Economic Area, the United Kingdom, or Switzerland. If the Host learns that any Adventurer is located in any such jurisdiction, the Host shall immediately notify LWO at [email protected] and shall not further process such Adventurer's personal information until LWO provides instructions.
4A.7 GDPR Defensive Provisions (Article 28 Compliance)
To the extent that the General Data Protection Regulation (EU) 2016/679 or the UK General Data Protection Regulation applies to any processing under this Agreement, the parties agree that LWO shall be the controller and the Host shall be the processor, and the obligations set forth in Articles 28(3)(a)–(h) of the GDPR are incorporated by reference. The Host shall not transfer such personal data outside the EEA or UK except in compliance with Articles 44–49 of the GDPR (including via approved Standard Contractual Clauses where required).
Ticket Sales, Pricing, And Platform Fees
5.1 Pricing
The Host sets the price for each ticket type. LWO does not regulate Event pricing, except that Events on the Platform shall only be listed in United States Dollars (USD). The Host is responsible for setting prices that comply with all applicable consumer protection laws.
5.2 Platform Commission
LWO charges a platform commission of ten percent (10%) on each ticket sale processed through the Platform. This commission is deducted from the Host's gross payout prior to disbursement via Stripe Connect. In addition, Stripe's standard payment processing fee of 2.9% + $0.30 per transaction is deducted prior to payout. The commission rate and applicable fees are displayed within the Host's dashboard. LWO will provide reasonable advance notice of any changes to the commission rate, and the Host's continued use of the Platform following such notice constitutes acceptance of the revised rate.
5.3 Stripe Connect and Payout Breakdown
All ticket payments are processed via Stripe Connect. The Host must maintain a valid and active Stripe Connect account to receive payouts. By using Stripe Connect, the Host agrees to Stripe's Terms of Service. The Host's net payout per transaction is calculated as: gross ticket sale price, less the 10% LWO platform commission, less the Stripe processing fee of 2.9% + $0.30, less any applicable withholdings for disputes or chargebacks. Sales tax collected at checkout by LWO is excluded entirely from the Host's payout — it is remitted directly to the Texas Comptroller and does not pass through the Host's account. Stripe payouts typically occur within two (2) to seven (7) business days following a transaction, subject to Stripe's standard payout schedule.
5.4 Sales Tax — LWO Responsibility
LWO is solely responsible for collecting and remitting Texas sales tax on all taxable transactions processed through the Platform, including ticket sales for taxable events, product sales, rentals, and taxable services. Sales tax is calculated at the applicable Texas rate of approximately eight point two five percent (8.25%) and is collected from the Adventurer as a separate line item at checkout. The Host is not responsible for collecting, remitting, or reporting Texas sales tax on transactions processed through the Platform. As a marketplace facilitator under South Dakota v. Wayfair, Inc., 138 S. Ct. 2080 (2018), and analogous state marketplace facilitator laws, LWO will collect and remit applicable sales taxes in additional states where the Platform meets the relevant economic-nexus threshold and the state has imposed a marketplace facilitator obligation on platforms such as LWO.
Notwithstanding the foregoing, the Host remains solely responsible for: (a) their own federal and state income tax obligations on earnings received via the Platform; (b) any taxes or levies arising from activities conducted outside the Platform; and (c) any payroll, employment, or self-employment taxes related to the Host's business operations. LWO recommends that Hosts consult an independent tax adviser regarding their personal income tax obligations.
5.5 Tax Information Reporting (Form 1099-K)
Pursuant to Section 6050W of the Internal Revenue Code, as amended by the American Rescue Plan Act of 2021 and as implemented by the Internal Revenue Service, Stripe (as Third-Party Settlement Organization) or LWO will issue a Form 1099-K reporting the gross amount of payments processed for the Host where the Host's gross payment volume exceeds the IRS threshold for the applicable calendar year (currently transitioning from $20,000/200 transactions to $5,000 for tax year 2024 and $2,500 for tax year 2025, and expected to be $600 for tax year 2026 and beyond). The Host is responsible for providing accurate taxpayer identification information (W-9) to Stripe and for reporting all income on its applicable federal and state income tax returns. LWO is not responsible for the Host's income tax compliance.
Cancellations, Suspensions, And Refunds
6.1 Host-Initiated Cancellations
A Host who cancels an Event for any reason shall bear the full cost of refunding all ticket holders. Upon cancellation, LWO will automatically process full refunds of ticket purchase prices to all affected Adventurers via Stripe. Stripe processing fees on the original transactions are not refunded and shall be borne by the Host. LWO reserves the right to deduct the cost of any refunds issued from amounts otherwise owed to the Host.
6.2 LWO-Initiated Cancellations
LWO may cancel, suspend, or delist any Event at any time, without prior notice to the Host, where LWO determines, in its sole discretion, that:
- The Event listing violates these Terms, the Host Agreement, or any LWO policy;
- The Event poses a risk to the safety of attendees or the public;
- The Host's account has been suspended or terminated;
- The continued listing of the Event exposes LWO to legal liability.
In the event of an LWO-initiated cancellation, LWO will process refunds to all ticket holders at the Host's expense. LWO shall not be liable to the Host for any lost revenue, reputational harm, or other damages arising from such cancellation.
6.3 Account Suspension Mid-Event Cycle
If a Host's account is suspended or terminated while the Host has active Events (Events with unsold tickets or Events that have not yet taken place), LWO may, at its discretion:
- Cancel all affected Events and refund all ticket holders at the Host's expense;
- Assist in transferring affected Events to an alternative host, where practicable;
- Communicate directly with affected Adventurers regarding changes to their bookings.
6.4 Reasonable Accommodation of Adventurers with Disabilities
Hosts shall make reasonable accommodation to enable Adventurers with disabilities to participate in Events to the extent required by the Americans with Disabilities Act, 42 U.S.C. §§ 12101 et seq., the California Unruh Civil Rights Act (Cal. Civ. Code § 51), and analogous state and local antidiscrimination laws. Where the nature of an Event makes accommodation infeasible (for example, certain technical climbing or backcountry activities with inherent physical demands), the Host shall clearly state any physical or sensory requirements in the Event listing prior to ticket sale. LWO does not assume responsibility for ADA compliance at Events; the Host bears that responsibility as the operator of the Event.
Content And Intellectual Property
The Host grants to LWO a non-exclusive, worldwide, royalty-free, sublicensable licence to use, display, reproduce, and distribute all Content submitted by the Host in connection with Event listings (including photographs, descriptions, and other materials) for the purposes of operating and promoting the Platform. The Host represents and warrants that it owns or has the right to use all Content submitted and that such Content does not infringe any third-party rights. LWO may remove any Content that it determines, in its sole judgment, violates these Terms or applicable law. The Host's licence to LWO continues for as long as the Content remains on the Platform and for a reasonable wind-down period thereafter for legal, archival, and backup purposes, after which LWO will delete or de-identify the Content.
7.1 Trademark Restrictions
The mark LOOK WHO'S OUTDOORS, the LWO logo, and all associated trade names and brand identifiers ('LWO Marks') are trademarks of Look Who's Outdoors LLC, used in commerce in connection with social networking platform services and outdoor gear products. The Host is expressly prohibited from using the LWO Marks — in whole or in part — in any external marketing, advertising, social media profiles, promotional materials, merchandise, domain names, or any other commercial context without the prior express written consent of Look Who's Outdoors LLC. The Host may refer to the Platform by name solely to describe their participation on LWO in a factually accurate, non-misleading manner. Any unauthorised use of the LWO Marks constitutes trademark infringement and may result in immediate account termination and legal action.
Prohibited Event Types
The Host may not create Event listings for activities that:
- Are unlawful under applicable federal, state, or local law;
- Involve the possession or use of firearms, weapons, controlled substances, or alcohol (unless lawfully permitted and disclosed);
- Promote hate speech, discrimination, or violence;
- Are sexually explicit or inappropriate for the listed audience type;
- Are misleading as to the nature, risk, or requirements of the activity;
- LWO determines, in its sole discretion, to be inappropriate for the Platform.
Boost Feature
Hosts may optionally purchase a Boost to increase the visibility of their Events in the Platform's search results and featured placements. Boost Fees are non-refundable, regardless of whether the Boost achieves the desired promotional effect. Boost pricing is displayed in the Host's dashboard at the time of purchase and is subject to change. LWO does not guarantee any specific level of visibility, attendance, or revenue as a result of a Boost.
Event Insights And Analytics
LWO provides Hosts with access to an Event Insights dashboard containing analytics data including event page views, interest rates, RSVP and booking conversion rates, source attribution, and similar metrics. This data is provided for informational purposes only. LWO does not warrant the accuracy or completeness of analytics data and shall not be liable for any business decisions made in reliance thereon.
Dispute Resolution — Host Accounts
Where three (3) or more validated disputes are raised against a Host within any rolling twelve (12)-month period, LWO will initiate a penalty review of the Host's account. The outcome of such review may include, at LWO's sole discretion: a written warning; temporary account restrictions; mandatory deposit or security holdback; suspension; or permanent termination of the Host's account. LWO's determination following a penalty review is final, subject to the appeal process described in the Terms and Conditions.
Chargebacks
The Host bears sole responsibility for all chargeback costs and associated fees arising from disputed ticket transactions. In the event of a chargeback, LWO may withhold equivalent funds from any pending payouts owed to the Host pending resolution of the chargeback. The Host agrees to cooperate with LWO and Stripe in responding to chargeback claims and to provide all requested documentation promptly.
Representations And Warranties
The Host represents and warrants to LWO that, at the time of entering into this Agreement and throughout the term:
- The Host is at least eighteen (18) years of age and has full legal capacity to enter into this Agreement;
- If the Host is a business entity, it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of formation;
- The Host has obtained all permits, licences, and authorizations required for the conduct of each Event;
- The Host's use of the Platform and conduct of Events complies with all Applicable Law;
- All Event descriptions and Content submitted by the Host are accurate, complete, and not misleading;
- The Host has not been convicted of any offence relating to fraud, violence, child exploitation, or sexual misconduct.
- The Host's collection, use, and disclosure of personal information regarding Adventurers, attendees, or other individuals complies with all Applicable Law, including the Children's Online Privacy Protection Act, the California Consumer Privacy Act, and analogous state privacy laws;
- The Host has obtained, where required, all necessary consents (including parental consents for minors) for the collection of any personal information that the Host obtains directly from Adventurers or attendees, including health, dietary, or emergency-contact information;
- The Host has implemented reasonable administrative, technical, and physical safeguards to protect Adventurer PI from unauthorized access, use, or disclosure;
Indemnification
The Host agrees to defend, indemnify, and hold harmless LWO, its members, managers, officers, employees, agents, and successors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Any Event organized, advertised, or conducted by the Host;
- Any personal injury, death, or property damage occurring at or in connection with a Host's Event;
- The Host's failure to obtain required permits, licences, insurance, or certifications;
- Any violation of this Agreement, the Terms, or Applicable Law by the Host;
- Any claim that the Host's Content infringes the Intellectual Property Rights of any third party;
- Any income tax liability arising from the Host's earnings on the Platform;
- Any breach by the Host of Section 4A or any Applicable Privacy Law, including any unauthorized use, disclosure, sale, or sharing of Adventurer PI by the Host or its agents;
Limitation Of Liability
To the fullest extent permitted by Applicable Law, LWO's aggregate liability to the Host under this Agreement shall not exceed the total Platform Fees paid by the Host to LWO in the twelve (12) months preceding the event giving rise to the claim. LWO shall not be liable for any indirect, consequential, incidental, special, punitive, or exemplary damages, including loss of revenue, loss of anticipated profits, or reputational harm.
Account Termination
LWO may suspend or permanently terminate a Host's account, with or without prior notice, including for the following reasons:
- Repeated safety incidents or complaints from attendees;
- Fraud, misrepresentation, or deceptive practices;
- Three (3) or more validated disputes within a rolling twelve (12)-month period;
- Violation of this Agreement, the Terms, or Applicable Law;
- Conduct harmful to attendees, other users, or the Platform;
- Any criminal conduct related to Platform activities.
Permanent bans are not subject to appeal. Temporary suspensions may be appealed pursuant to the process described in the Terms and Conditions.
Governing Law And Dispute Resolution
This Agreement is governed by the laws of the State of Texas. All disputes arising under this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with the Terms and Conditions. The class-action waiver set out in the Terms and Conditions applies equally to this Agreement. Notwithstanding the foregoing, mandatory employment, consumer-protection, and privacy statutes of the Host's state of residence (or principal place of business, if a business entity) apply to the extent they confer rights that cannot be waived by contract.
Entire Agreement; Amendments
This Agreement, together with the LWO Terms and Conditions, Privacy Policy, and all other applicable LWO policies, constitutes the entire agreement between LWO and the Host with respect to the subject matter hereof. LWO reserves the right to amend this Agreement at any time upon reasonable notice. The Host's continued use of the Platform following notice of any amendment constitutes acceptance of the amended Agreement.
